These terms govern your purchase and use of the Signal Lights website, macOS app, subscription and related services.

1. About these terms

These Terms & Conditions ("Terms") form an agreement between you and JupiterAI ("JupiterAI", "we", "us" or "our"), based in Western Australia, Australia. They apply to the Signal Lights website, macOS application, subscriptions, licences, updates, recovery and support services (together, the "Services").

By subscribing, downloading, installing or using Signal Lights, you agree to these Terms and our Privacy Policy. If you use the Services for an organisation, you confirm that you have authority to bind it. If you do not agree, do not subscribe to or use the Services.

2. Eligibility and requirements

You must be legally able to enter into this agreement and use the Services in accordance with applicable law. Signal Lights requires a compatible Apple silicon Mac, a supported version of macOS and at least one supported Codex or Claude Code installation. Requirements may change as Apple and third-party providers update their software.

3. Subscriptions, prices and automatic renewal

Signal Lights is offered as a monthly or annual subscription. The price, billing frequency, currency and any applicable taxes are shown before checkout. Unless stated otherwise at checkout, subscriptions are charged in advance and renew automatically for the same billing period until cancelled.

By subscribing, you authorise Stripe to charge your selected payment method at the start of each billing period. You are responsible for keeping your payment information current. If a payment fails, we or Stripe may retry it and access may continue for a limited grace period before being suspended.

We may change subscription prices for a future renewal by giving reasonable advance notice. A price change will not alter an already-paid billing period. If you do not accept a future price, you may cancel before it takes effect.

4. Cancellation, plan changes and refunds

You may manage or cancel your subscription through Manage Subscription in the Mac app or by restoring your subscription on the website. Cancellation stops automatic renewal. You can continue using Signal Lights until the end of the paid billing period, after which subscription features and licence validation may stop.

Upgrades may take effect immediately with a proportionate charge or credit displayed by Stripe. Downgrades and billing-frequency changes may take effect at the next renewal. Unless stated at checkout or required by law, we do not provide refunds or credits for change of mind or a partially used billing period.

Nothing in this section limits any refund, replacement, repair, cancellation or other remedy you are entitled to under the Australian Consumer Law or another law that cannot be excluded.

5. Licence to use Signal Lights

While your subscription is active and you comply with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to install and use Signal Lights on up to two Macs that you own or control, for your personal use or your internal business use. A licence is for one subscriber and may not be shared publicly, resold, sublicensed or used to provide a competing hosted or managed service.

You may deactivate a Mac and use the available activation on another Mac. Your licence key and activation credentials must be kept secure. Tell us promptly if you believe they have been compromised.

6. Acceptable use

You must not, except to the extent applicable law expressly permits you to:

  • copy, distribute, sell, rent, sublicense or commercially exploit the app or licence credentials;
  • reverse engineer, decompile, bypass or interfere with licensing, security or technical restrictions;
  • use the Services unlawfully, fraudulently or to infringe another person's rights;
  • probe, disrupt or place an unreasonable load on our website, licensing or recovery systems; or
  • misrepresent your identity, payment authority or entitlement to a subscription.

7. Local access and your responsibilities

Signal Lights needs local access to supported task information and may install or configure local integrations you choose to enable. It does not approve requests or send replies on your behalf. You remain responsible for reviewing task output, protecting your Mac and accounts, maintaining appropriate backups, and deciding whether Codex, Claude Code or any output is suitable for your work.

Signal Lights is a status and workflow aid. It is not designed as a safety-critical system and should not be relied on where a missed, delayed or incorrect status could cause injury, material loss or legal non-compliance.

8. Updates, availability and third-party services

We may provide updates, security fixes and feature changes. We do not promise that every feature, third-party integration or operating-system version will remain available indefinitely. We will take reasonable care in operating the Services and, where practical, give reasonable notice of a material reduction or discontinuation.

The Services interact with products supplied by Apple, OpenAI, Anthropic, Stripe and others. Their availability, formats and terms are outside our control. Signal Lights is independent software and is not affiliated with or endorsed by OpenAI or Anthropic. Third-party names and marks belong to their respective owners.

9. Intellectual property

We and our licensors retain all rights in Signal Lights, the website, branding, software, designs and documentation other than the limited licence granted in these Terms. You retain all rights in your own content and work. These Terms do not give us ownership of prompts, conversations, source code or other material stored on your Mac.

Open-source components remain subject to their own licences, which are available in Signal Lights under Settings → Licences.

10. Australian Consumer Law

If you acquire the Services as a consumer, they come with guarantees that cannot be excluded under the Australian Consumer Law. For services, these can include guarantees that they will be provided with due care and skill, be fit for a disclosed purpose and be supplied within a reasonable time. Nothing in these Terms excludes, restricts or modifies a right, guarantee, condition, warranty or remedy that cannot lawfully be excluded.

Where the law permits us to limit a remedy for a failure to comply with a non-excludable guarantee, our liability is limited, at our option, to supplying the affected services again or paying the reasonable cost of having them supplied again. This limitation does not apply where it would not be fair or reasonable, or where the law does not permit it.

11. Other warranties and liability

Subject to section 10, we do not promise that the Services will be uninterrupted, error-free or compatible with every future version of macOS, Codex or Claude Code. Information on the website is general product information and is not professional advice.

To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the agreement was made. Our aggregate liability arising from the Services is limited to the amount you paid for Signal Lights in the 12 months before the event giving rise to the claim.

Those exclusions and limits do not apply to fraud, wilful misconduct, liability for death or personal injury caused by negligence, a breach of confidentiality or privacy obligations, your obligation to pay valid subscription fees, or any liability that cannot lawfully be excluded or limited.

12. Suspension and termination

We may suspend or terminate access if payment remains overdue, a refund or chargeback reverses the purchase, you materially breach these Terms, or suspension is reasonably necessary to protect the Services or others. Where practical, we will give notice and a reasonable opportunity to remedy the issue. We may act immediately in cases of fraud, unlawful conduct or urgent security risk.

If we permanently discontinue a paid Service for reasons unrelated to your breach, we will provide a proportionate refund for any unused prepaid period, unless we provide a reasonably equivalent replacement. On termination, the licence ends and you must stop using and delete the app, except where applicable law gives you a continuing right.

13. Changes to these Terms

We may update these Terms to reflect changes in the Services or law. We will publish the revised Terms and update the date above. Material changes that adversely affect an active paid subscription will normally take effect at the next renewal after reasonable notice. Changes required for legal, security or new-feature reasons may take effect earlier, but will not retrospectively remove accrued rights.

14. Governing law and disputes

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. The courts of Western Australia have non-exclusive jurisdiction. If you are a consumer, you retain the benefit of any mandatory protections and right to bring a claim in another court that applicable law gives you.

Please contact us first so we can try to resolve a concern promptly. Nothing in these Terms prevents either party from seeking urgent relief or using a consumer regulator, tribunal or dispute-resolution process available by law.

15. General

If a provision is invalid or unenforceable, it will be read down to the minimum extent necessary and the remaining provisions continue. A delay in enforcing a right is not a waiver. You may not assign your subscription without our consent. We may assign these Terms as part of a genuine business transfer, provided this does not materially reduce your rights. These Terms and the Privacy Policy are the entire agreement about the consumer Signal Lights Services, except for information and terms shown at checkout.
